Legal Experience

Diane Carter has over 20 years of legal experience representing a variety of clients transacting business in the health care industry. Her clients include physician practices, hospitals,  ambulatory surgery centers, rehabilitation facilities, managed care organizations, non-profit health care organizations, independent practice associations (IPAs), and management companies. Ms. Carter advises these clients on corporate, transactional, regulatory, and compliance matters.  Ms. Carter is Board Certified in Health Care Law by the Texas Board of Legal Specialization and certified in Health Care Compliance by the Health Care Compliance Association.

Specific Matters of Representation

  • Organizing and structuring joint ventures including hospitals, ambulatory surgery centers and imaging centers in numerous states including Texas, Arizona, Alaska, Florida, New Mexico and New York
  • Interpreting and analyzing compliance with federal and state anti-fraud and abuse statutes and applicable regulations, and the Stark statute and regulations
  • Advising clients regarding the formation, merger, and acquisition of medical groups and facilities
  • Advising and assisting clients in obtaining licensure to operate in Texas as a health maintenance organization, third party administrator, and utilization review agent
  • Reviewing and negotiating agreements between payors and providers
  • Advising and assisting clients in obtaining Texas State Medical Board certification as non-profit health care organizations
  • Representing hospital districts and the formation of health maintenance organizations for participation in Medicaid Managed Care and the Children’s Health Insurance Program
  • Advising providers on the application of antitrust laws
  • Creating management companies for managing medical practices and other health care providers
