Legal Experience

Kassandra McLaughlin has a broad-based commercial real estate practice, emphasizing leasing, lending, small and large business representation. She has been growing her lending practice representing regional banks in their real estate lending transactions. This practice enhances her representation of both commercial real estate buyers and sellers. Ms. McLaughlin also represents publicly traded real estate investment trusts (including health care REITs) in their leasing and tenant relations transactions. She represents both large and small business clients in their general counsel needs, including entity formation and structuring, acquisitions, dispositions, mergers, construction and land use issues, financing and other commercial real estate matters.

Ms. McLaughlin has prior experience in planning, development and land use issues as a part of the City of Dallas’ Sustainable Development and Construction Department (formerly Economic Development Department), where she was the first Chief Arborist for the City of Dallas.

Recent Specific Matters of Representation

  • Negotiation of:  (i) contract for sale of tenanted office building, (ii) tenant estoppels in connection therewith, (iii) defeasance of original collateral under encumbering loan documents necessitated by sale, and (iv) condemnation proceedings during sale’s due diligence and closing periods;
  • Re-platting, preparation of restrictive covenants, and sale of building sites in a Houston industrial park;
  • Representation of lenders on loans to site developers, including acquisition, construction, and mini-perm financing;
  • Representation of a regional bank in lending take-out loans to a Texas borrower for rehab, tenant improvements and leasing commissions for multiple properties throughout Texas, which loans were complicated by title and survey issues and the incapacitation of the borrower's principal and guarantor shortly before closing;
  • Negotiation of: (i) partnership agreement for a newly-formed Texas limited partnership for acquisition of the assets of a landscape design and construction company in Austin, Texas; (ii) the purchase of those assets from the company's family founders; and (iii) the SBA loan financing the client’s equity contribution to the limited partnership;
  • Representation of a water service provider for oil and gas companies in the acquisition and due diligence of new sites, formation of new entities to hold the sites, and management agreements to maintain and operate the sites.
