Legal Experience
Ms. Carroll provides regulatory advice and counsel to equity investors, lending institutions and project developers in connection with the development, construction financing, acquisition and sales of electric generating plants in Texas. She represents other clients in the electric power industry, such as generators, power marketers, retail electric providers, and commercial and industrial customers in connection with the review, negotiation, and drafting of legislation, regulations, agreements and protocols affecting participants in the Texas wholesale and retail electric power markets. Ms. Carroll also represents clients before the Public Utility Commission of Texas (PUC) in rulemaking proceedings and contested cases, including electric utility rate cases and transmission line certification applications, and at the Electric Reliability Council of Texas (ERCOT). Marianne’s rate case experience is both deep and broad, extending over twenty years and involving rate change applications by both vertically-integrated utilities and unbundled transmission and distribution utilities.
Ms. Carroll has been active on behalf of the independent power industry in the numerous proceedings undertaken by the PUC to restructure the wholesale market and to implement retail customer choice in ERCOT. Ms. Carroll is currently the Executive Director of the Texas Competitive Power Advocates (TCPA).
Ms. Carroll is a regular speaker at industry forums and client-requested presentations on the status of the electric markets in Texas.
Significant Engagements
- Currently representing a client that intends to become a new electric transmission utility in Texas
- Represented TCPA in numerous PUC rulemaking and contested case proceedings over the course of three years in which fundamental changes to the ERCOT wholesale market structure were examined and debated, and a nodal market approved for ERCOT
- Secured the approval of the PUC for several proposed mergers or acquisitions involving power plants in Texas
- Acquisition of 632 megawatt coal fired electric generating facility in Victoria and Goliad counties, Texas
- Equity investments in numerous wind power projects and transmission and distribution utilities in Texas
- Acquisition of 11,000 megawatt portfolio of nuclear, coal, lignite, and natural gas electric generating facilities in Harris, Matagorda, and Limestone counties, Texas
- Representation of a Texas refinery and other industrial concerns on multiple issues related to electric service, including cogeneration laws and strategies
- Representation of the majority partner in a Texas Gulf Coast LNG facility to secure the timely certification of the facility’s transmission interconnection
- Development and financing of 845 megawatt combined cycle electric generating facility in Rusk County, Texas
- Development and financing of 830 megawatt combined cycle electric generating facility in Grimes County, Texas
