Mr. Morrison practices in the business area, with emphasis in the partnership, corporate, real estate, energy and transactional areas.

Transactional: 

Structuring and implementing complex business, real estate and energy-related transactions, including acquisitions, formation of entities, dispositions, liquidation of entities, reorganizations, exchanges, financing and other business aspects of corporate, partnership and real estate transactions. Assisting clients in planning and implementing the due diligence in connection with business and real estate acquisitions and dispositions. Representation of clients in acquisitions and dispositions of business entities and assets, including structuring the entities and methods of acquisitions and/or dispositions.

Banking:

Representation of borrowers in secured and unsecured loan transactions.

Specific Experience

  • Legal due diligence and document preparation in connection with acquisition bids for energy related assets and companies.
  • Structuring and formation of entities in connection with the acquisition and development of real estate and energy-related assets.
  • Acquisition and disposition of businesses and interests therein in multi-state transactions including supervision of due diligence matters in connection therewith.
  • Financing and refinancing transactions involving various types of assets including multi-state properties and locations.
  • Negotiation and documentation of relationships among owners of business organizations.

  • Various sales and acquisitions of partnership, stock and limited liability company interests in companies owning energy assets, 2002-2006
  • Negotiation of entity documents in connection with the ownership and equity funding for a $190+ million resort and hotel complex in Scottsdale, Arizona, 2001
  • Sale of privately-held partnership interests for cash and public company stock in a transaction representing individual principals of a real estate affiliate of an investment banking firm ($20+ million), 2000
  • Sale of partnership, stock and limited liability company interests in entities which indirectly owned a gas-fired electric power plant located in Texas ($150+ million), 2000
  • Sale of limited partnership interest in NBA franchise and related partnership and stock interests in Sports Arena and adjacent real estate, 1999
  • Local counsel for the acquisition of 33 apartment projects in the State of Texas, 1998 and 1999
  • Negotiation of ownership documents in connection with acquisition of an interest in a Sports Arena and adjacent real property to be used for development, 1998
  • Negotiations of entity documents in connection with the acquisition of high-end residential land development including country club and five golf courses located at Scottsdale, Arizona, 1997
  • Negotiation of entity documents in connection with the acquisition and development of a hotel and golf resort in San Antonio, Texas, 1997
  • Assisted in the acquisition of a portfolio consisting of fourteen office buildings, fourteen tracts of land, two multi-family projects, oil and gas interests, partnership interests including interest in an NBA franchise, construction, equipment leasing company and an interest in an airplane, 1997
  • Disposition of a multi-state ten project apartment portfolio and subsequent liquidation of ownership entities in the culmination of a multi-year acquisition, refinance and restructuring transaction that resulted in a significant increase in value for a group of companies principally owned by an Austin-based family, 1989-1994
