Take for instance, a Series Limited Liability Company (Series LLC), which is a relatively new form of company available in nine states including Texas. It is a master LLC with a series of units or “cells.” The goal of the structure is to maintain liability protection for each cell from each other while keeping costs down and avoiding the need to set up each cell as a separate LLC. It may sound straight forward, but since this is a new structure there are unique issues that should be considered before forming this entity. We find that many people mistakenly believe the Series LLC is the best form for their business when in fact a different structure may be more advantageous.
