Brown McCarroll has extensive public-private partnership experience on both the corporate and public entity sides in connection with various industries and types of projects. Experience highlights include:

  • Joint Ventures between Public Entities and Private Businesses – Represented various public entities, including counties, cities, public hospitals, and mental health centers in exploring and negotiating with private businesses to create joint ventures using legal entities and contractual arrangements that allow the two to pursue business opportunities.
  • Land Development, Economic Development, Sports Facilities, Utilities, and Franchise Agreements – Represented cities, a regional utility authority, a 4A sales tax economic development corporation, a 4B sales tax community development corporation, and a regional museum in projects involving land development, economic development, community development, parks and sports facilities, water and wastewater utilities, and franchise agreements.
  • Ground-Leased Land – Represented a commercial development company in a deal involving a lease and sublease back from a major Texas city. The client built a parking garage, leased the entire garage to the city and then subleased a part of the garage back from the city.
  • Negotiation of a Downtown City Condominium Development – Represented a major Texas city as outside counsel in negotiating with the purchaser of a high profile downtown city condominium development. This included involvement in public briefings, discussions with third parties interested in the outcome of the public development, participating in executive sessions, and negotiating details to satisfy a variety of public policy objectives, including assurance of compatible design initiatives involving means for blending the development into the vision of the existing retail district with pedestrian-friendly approaches, appropriate retail, and the relocation of a business.
  • Master Developer Agreement for Power Plant – Represented a major Texas city as outside counsel in negotiating with the master developer of the redevelopment of a power plant. This included involvement in public briefings, discussions with third parties interested in the outcome of the high profile public development, participating in executive sessions and negotiating details to satisfy a variety of public policy objectives, including assurance of compatible design initiatives involving pedestrian-friendly approaches, appropriate retail, affordable housing and functional public space such as plazas and historical preservation.
  • Draft of Request for Proposals for City Land Redevelopment – Provided counsel to a major Texas city in the development of a request for proposals for selection of the master developer of a water treatment plant site. Advice involved efforts to assist the city in its public policy goals.
